AMC just cleared one of the biggest questions hanging over the refinancing: the new debt actually priced. AMC locked in $2B of first lien notes due 2031 at 8.875% and an $850M first lien term loan at SOFR plus 4.50%, alongside the previously announced $1.12B second lien loan. In plain English, the market agreed to fund the plan. If it closes around October 5 as expected, AMC can refinance major 2029 obligations, including the $903M Muvico notes and the $360M secured notes, and push a huge part of the debt wall farther out. $AMC has been here before. In July 2020, AMC completed a $2.6B debt restructuring, cut principal by $553M and added hundreds of millions in liquidity. Months later came the historic 2021 run. Refinancing didn’t cause that run by itself, but it bought AMC the one thing bears keep underestimating: TIME. Now AMC is attacking another major maturity wall and extending runway again. The SEC’s new U.S. framework says investor protection is not optional, synthetic stock tokens don’t qualify, and issuers can object to their securities trading on these tokenized venues. Aron is now challenging Robinhood to apply those same principles internationally. For everyone who said he should stay quiet or that this issue didn’t matter: this is exactly why he kept pushing. I want to extend my highest praise to Paul Atkins, Chairman of the U.S. Securities and Exchange Commission, for the wise decision — perhaps a better characterization being the brilliant decision — he announced today on behalf of the SEC about Stock Tokens.   The SEC granted a five year period of experimentation on this topic in U.S. markets. In doing so, the SEC laid out some inviolate and unequivocally annumerated conditions:   The SEC highlighted that “Investor Protection Is Not Optional.” The SEC clearly laid out that even as it puts forward an “Innovation Exemption,” the SEC has an implicit right to govern on this issue. This means that at least within the U.S., there is an underpinning that appropriate regulatory bodies can regulate  as they think is needed. I believe that over the last full century, investors have best been protected when U.S. regulatory bodies have been involved and U.S. securities laws have been applicable. Thank you, SEC.   The SEC also  emphasized  that there can be “No Synthetics.” Any such Stock Tokens must carry full voting and dividend rights. No synthetics is such a vital and basic concept. Thank you, SEC.   Also of crucial importance, the SEC mandated that “Issuers Can Object.” It said that issuers of stock must have the opportunity to object and prevent their security from being trading on a Tokenized Securities Venue if companies so choose. This puts companies in charge of their own securities and capital structures, not brokerage houses. Thank you, SEC.   I applaud what the SEC did today. Bravo!   And @vladtenev and @dangallagher I note that at Robinhood you accepted and supported the SEC’s ruling today. I call on you now to adhere to the exact same standards internationally. The SEC’s new framework pushes tokenized stocks closer to real equity: actual shareholder rights, 1:1 redemption, and companies get notice before their stock is tokenized, with the ability to object and block the listing under the exemption. Synthetic tokens that simply mimic stock exposure are prohibited. That puts the pressure right back on $HOOD: if you want to tokenize AMC, show the real shares and give holders the real rights. The SEC’s 2026 tokenization statement is not a legal shield for Robinhood. The SEC itself says it has no legal force and assumes the transactions discussed already comply with applicable law. Robinhood’s own documents call its AMC product a tokenized debt security linked to $AMC, not AMC common stock. Buyers get economic exposure, but no AMC ownership, no voting rights and no direct rights from AMC. Even with claimed 1 to 1 backing, the token holder owns an obligation of Robinhood Assets Jersey, not the underlying AMC shares. Robinhood’s own filings also acknowledge regulatory uncertainty, litigation risk and possible legal challenges from issuers of referenced securities. The framework proves synthetic exposure can exist. It does not vindicate Robinhood, turn the product into AMC stock or put it beyond scrutiny. @CEOAdam has every reason to question a third party product tied to AMC that AMC did not issue or authorize. One real AMC share may sit behind one Robinhood Stock Token, but once that token exists it can trade 100, 1,000 or 10,000 times in a separate 24/7 market without another AMC share being bought. New token creation may require underlying backing. Secondary trading does not necessarily create new buying pressure in AMC common. And these aren’t AMC shares. Robinhood says they’re debt securities providing AMC exposure without ownership or voting rights. The token can even keep trading while AMC common is closed. So, 1:1 backing answers what sits behind the token. It does NOT answer where investor demand goes or how a parallel 24/7 market influences price discovery.
