Safety features include: • B-pillar mics for direct support comms • Underside speakers + active rising hood • Automatic two-way links during incidents Fleet Model Ys already have extras most private cars lack: • Side + rear camera washers • Upgraded front camera sealing • Redundant comms unit “Safety is our #1 priority” - Tesla. Inspections can flag wear. They won’t retrofit hardware. Add AI5 (massive gains next year) and private cars look even further behind. A true mixed fleet feels unlikely to me. TSLA Holders: Elon’s Words vs Reality Elon said he’s “first in, last out” with his shares. Called it the “biggest asset change in history, overnight.” Urged us: “Hold your Tesla shares — path to the largest company in the world, maybe bigger than the top 5 combined.” We listened. He put only ~$100M into SpaceX. Then sold ~$23B of TSLA stock to buy Twitter, folded it (and xAI) into SpaceX. That’s a transfer. xAI couldn’t live inside Tesla due to talent and massive stock option issues. He’s long craved total control (remember “funding secured” at $420). He has it at SpaceX — even post-IPO. SpaceX IPO’d massive. Its early big-money qualified investors made huge multiples. Tesla? Volatile and range-bound for stretches over the last 5 years, right on the eve of Robotaxi and Optimus catalysts. Broad retail base. Now rumors swirl that SpaceX wants to buy/merge Tesla. Elon gets unified total control. Real question: Does Tesla capture massive upside in the deal for the catalysts he hyped… or is this optimized mainly for his control and SpaceX’s valuation? Synergies could be real. But fair exchange ratio, independent process, and protecting retail value matter. What terms would make this right for you?

Approving the Tesla-SpaceX merger is like voting communists into power in a democracy: this is the last time your vote actually counts. Elon’s 20% becomes permanent majority control. Future shareholder votes = theater. Poor analogy but something to consider?

Tesla operates under standard one-share-one-vote governance, with Elon as the largest but still minority shareholder. xAI was founded separately and later moved under SpaceX. Merger discussions are now active in the market. Robotaxi progress has been real but deliberately measured — limited unsupervised operations in a few Texas cities with a modest fleet, Cybercab production ramp just beginning. This safety-first approach is prudent, yet the contrast with earlier optimistic commentary feels notable as merger rumors intensify and SpaceX lock-up periods begin to ease post-earnings. I am not opposed to a well-timed strategic combination that unlocks real synergies in compute, energy, and technology. But as a public shareholder, I want assurance that any deal delivers fair valuation and exchange terms that properly recognize Tesla’s upcoming shift to high-margin recurring revenue from Robotaxi and Optimus — before a major restructuring that could consolidate control. Incentives matter. Boards have fiduciary duties to all shareholders. Clear communication and independent oversight on timing and terms would go a long way toward maintaining trust ahead of what could be one of the most significant corporate combinations in history. The All-In crew know the rules — but it feels a bit late and convenient now that they’ve already cashed in. I don’t hate Elon or wealth creators—SpaceX’s success is awesome. But the All-In guys are speaking from inside the club. Private funding rounds (pre-IPO) were off-limits unless you were already a high-net-worth accredited investor. Plumbers, welders, and regular builders? Excluded. Only employees + the wealthy got early shots at SpaceX, Uber, etc. Jason Calacanis turned $25k into ~$100 million on Uber (4,000x). The hosts rode similar waves in SpaceX rounds. Most people in 2015? “Sorry, not accredited.” Huge multiples missed. The regular builder sees the game is fixed. Bernie, AOC, and Robert Reich pile on for political points. But the reality is — it’s a big club and you ain’t in it. Now with torches & pitchforks out, they’re noticing. Add the tax game: unrealized stock gains get preferential treatment (Buffett’s secretary paid higher rates). Fix access without punishing success.
