MIDAO helps DAOs & Web3 projects incorporate in the only jurisdiction that explicitly recognizes the unique structure of these organizations. Not Legal Advice.

Our CEO Adam Miller and @samccarthy27 of @DAOstar_One on what comes after one-token-one-vote, and on companies run entirely by AI agents.
Are DAOs dead? @samccarthy27 wrote "Farewell to DAOs," one of the most talked-about DAO essays this year. His actual take: DAOs are inevitable. What has to go is the one-size-fits-all model. New episode of Just DAO It! 🧵👇

DAO literacy should begin with operations, not vocabulary The useful questions are how decisions become work, where responsibility sits, and how the organization keeps functioning as contributors change #DAOs #Governance
36
AI agents are getting persistent identities. The next question: who stands behind them? Identity Digital spun out Known to advance DNSid, linking agents to accountable organizations. Identity is one layer. Legal authority is the next. That’s where the Digital LLC fits.

Decentralized governance still needs operational ownership Someone must maintain documentation, manage access, onboard contributors, and make sure approved decisions become completed work #DAOs #Governance
54
Not every DAO proposal should follow the same path Routine payments and treasury-changing actions need different levels of review, approval, and execution control Governance should scale with consequence #DAOs #Governance
40
A treasury creates obligations before it creates impact Transparency can show where funds moved. It cannot replace clear mandates, budget ownership, reporting, and review #DAOs #Governance
56
The next constraint on DAO growth may be people, not software Durable governance needs clear paths for contributors to learn, take responsibility, and eventually pass that responsibility on #DAOs #Governance

Legal infrastructure should be evaluated like any other critical dependency Understand its assumptions, constraints, and long-term operating burden before building the organization around it #DAOs #CryptoLaw

The legal layer should not be a cleanup project A DAO should define its legal identity while governance, treasury controls, and contributor roles are being designed, not after outside pressure forces the question #DAOs #Governance

Digital entity law is only useful if the identity it creates travels On-chain organizations need a structure that courts, banks, investors, and counterparties can understand beyond the jurisdiction that formed it #DAOs #CryptoLaw

A DAO can have strong on-chain governance and still create a second decision-making system around it The key question is simple: does the legal structure follow the project’s governance, or compete with it? #DAOs #Governance

DAO risk needs a defined perimeter Insurers and counterparties need to know what belongs to the organization, who can act for it, and where its obligations begin and end #DAOs #CryptoLaw

Someone spent about $4 million to buy about 1% of BONK's token supply, then used the DAO's own rules, exactly as written, to vote about $20 million out of the treasury. A low quorum is a design decision, and the time to make it is day one. MIDAO CEO Adam Miller's Maryland Blockchain Bootcamp talk on how to build a DAO this weekend, for free, and how not to blow it up, is now on our YouTube channel.

DAOs are often designed around the people who launch them. The harder test comes after those people move on. Good structure gives the organization continuity across changing teams, delegates, and software. #DAOs #Governance

A statute can recognize a new entity. An ecosystem makes it usable. Registries, counsel, banks, and public agencies need a shared operating model before onchain organizations can rely on it. #DAOs #CryptoLaw

DAO due diligence should start with permissions, not titles Upgrade rights, pause controls, treasury access, and authority to enter agreements reveal how the organization actually works #DAOs #Governance

Giving an agent access to DeFi protocols is one layer. Giving it authority to deploy someone else’s assets is another. As agents move from analysis to execution, wallet permissions need to map to a clear mandate: what the agent may do, on whose behalf, and where accountability sits when it acts outside that scope.

Token design is organizational design A token communicates how authority works, what role holders have, and what they should expect from the organization behind it #Web3 #TokenDesign

A jurisdiction is not defined by one law It becomes useful when founders, counsel, banks, and counterparties can work from the same assumptions without rebuilding the legal explanation each time #Web3 #CryptoLaw
