"Don't fundraise in the summer." You've heard this from mentors, advisors, maybe from a VC who was heading to the Hamptons. I wanted to dig into whether it's actually true. Here's what the data says:

And that delay is what actually hurts them. By the time fall rolls around, they're scrambling to get their legal house in order while other founders are already having investor conversations. The calendar isn't the problem. Readiness is.

So if you're a founder wondering whether to wait: don't let the season be your excuse. Get your corporate housekeeping done now. Build relationships with investors now. If the momentum is there, the summer won't stop it.

"I want to incorporate but I don't want to spend $10k on a lawyer just to set up a Delaware C-Corp." Heard this from a founder last month. He also had real legal questions about IP assignment and vesting acceleration. So we built something for exactly this:

Our new @clerkyinc collaboration at @LowensteinLLP. He formed his C-Corp in days for a fraction of the usual cost. Then I walked him through the stuff that actually needed a lawyer: IP assignment structure and single-trigger vs. double-trigger acceleration.

Clerky handles the repeatable formation mechanics. I handle the judgment calls. If you're a founder thinking about incorporating, happy to chat.

Something is happening in pre-seed / seed that I think needs to be amplified more. The gap between pre-seed and seed is getting large. More >>

Helpful insight from @cartainc's @PeterJ_Walker on summer fundraising. Conventional wisdom is that summer is toughest so this is eye-opening. Just remember this reflects when deals close. Term sheets are typically issued 4-6 weeks prior to closing! @LowensteinLLP #startup #VC
Founders - you can raise VC rounds in the summer. Across most years, the worst month for signed venture deals is actually January. July isn't so great either - but June and August are usually pretty decent! Deals are not always begun and signed in the same month, obviously

Two ways for an AI company to protect itself from competition: (a) depend not just on AI but also deep domain knowledge about a particular field, (b) have a very close relationship with the end users.
