Dear Tesla board members, Many shareholders in the retail community are concerned by Elon's abrupt radio silence on robotaxi that seems to have occured post-compensation package and pre-merger rumors. I trust Elon's character demonstrated through his many hard-fought battles and am a huge admirer of Elon. Many of us still believe there is no one better to lead the company than Elon. But one can't help but see the incentives on the gameboard and the timing of the abrupt PR strategy shift, and be concerned. As Elon often rightly says, "incentives drive outcomes," We see a shift, going from announcements of "1500 robotaxis in just 2 months" 1 week prior to the compensation package vote on The All-In Podcast (now 8 months ago), to the radio silence we see today while merger rumors swirl in every corner of media - a merger that at this time would likely give Elon controlling share of TSLA/SPCX. I hope that I, like many others, am very wrong in my concerns about this. But it would assuage many fears if someone can please address this concern. On the eve of a rumored merger, we and the public are now more in the dark about Tesla's prospects than ever. We believe in the strategic combination of the companies in due time; but are worried about the timing of a merger if it were to be announced "soon". While Tesla is on the verge of transforming its core business from a low margin one-time sale business model to a high-margin recurring revenue model in Roboatxi, only 5% of SPCX shares are currently available for sale, preventing true price discovery at the time of its high point of publicity and public praise. The 2025 robotaxi roadshow by Elon was pretty nasty tbh. Believe it or not, I’m a big Elon fan. I also can’t ignore he said “half the country by 2025 year end” and “1000 RT’s in Bay Area, 500 in Austin in 2 months” on All-In conspicuously ~7 days before his comp package vote in November. This, like other forward looking ramps have been memory holed, never to be addressed again. Since then, there’s been radio silence now that there’s a rumored merger for Elon to take controlling share of TSLA. I will eat my words and apologize and praise Elon if there is not a merger immediately and he allows RT to ramp. Until then, I can’t sleep and will continue to voice what I see playing out on the game board.

For anyone curious as to what happens to Elon’s 2025 compensation plan in the event of a Tesla / SpaceX merger. The answer: it depends on whether a change of control is triggered. If a change of control is triggered, (i) the operational milestones in the comp plan are disregarded, but the tranches of shares tied to market cap milestones that are achieved are automatically earned (calculated based on (a) the greater of the most recent closing share price immediately prior to the effective date of the merger and (b) the per share price in the merger agreement), and (ii) all remaining tranches are forfeited automatically. The change of control provision in the award agreement is lengthy and somewhat convoluted. What it essentially boils down to is whether Tesla shareholders maintain 50% or more of the voting power post-merger. If not, the change of control is likely triggered and Elon will unlock any additional shares that are tied to achieved market cap milestones. Given the SpaceX dual class share structure, in a scenario where Tesla is merged into SpaceX, there is a high probability of a change of control being triggered, and, depending on valuations, Elon unlocking additional shares without meeting operational milestones. Now contemplate Elon’s incentives in a potential merger scenario and what that may mean for Tesla’s market cap prior to closing. $TSLA @smdcapital

I finally downloaded 12.5.2.1. Excellent, though I've driven it only a bit. Longer review after I've used it longer. For now though: Positives: 1. No nag. Thank you so much, hard-working Tesla employees. It's so nice to just be able to have my car drive me.

2. Only had to press the accelerator once, to speed the car up just a bit. 3. Car maintained a max of 34 mph in my neighborhood, whereas before it would quickly get to 36 mph, causing a disengagement. 36 mph here would get me a ticket.

Negative: The only negative is it still missed my exit off the highway. Not sure if it's map data or what, but it just can't seem to exit. Hoping for an update for this, and it seems like low-hanging fruit. Very pleased so far, will update when I have more time using it.
