My iPhone got stolen. The thief plugged it in to charge. That second, the front camera took a photo and emailed it to me with the exact GPS location. DTCC's entire business is being a ledger. Fundamentally, they compete with L1s like Ethereum and Solana--at most, what they are doing in crypto could be seen as adding some bridges, like Solana having an Ethereum bridge or vice versa, or APIs, like a totally centralized bank being gracious enough to offer a heavily permissioned and expensive API into the bank. Ethereum and Solana should view DTCC and similar intermediaries like Broadridge as competitors, to be disrupted and destroyed by a superior, fully peer to peer technology. Ethereum people simping for DTCC to "tokenize on Ethereum" means asking DTCC to mint on Ethereum receipt tokens representing claims back on DTCC's ledger, which remains definitive in all respects. This would be like Solana people begging for assets to be tokenized on Ethereum and then bridged to Solana--fundamentally a very cucked mentality.

While just a staff statement/not binding, the SEC's FAQ released today is one of the most significant they have done to-date related to application of securities law (or lack thereof) to most digital assets. Two things in particular: 1. Promote your network’s utility? Not an IC promise! Promote potential utility? Not an IC promise, so long as you aren’t promoting profit. Keep building and improving a functional network? Not “essential managerial efforts.” Under this statement, the SEC is all but admitting that the LBRY case and many others should have never been brought and were wrongly decided by the lower courts who heard them. 2. The SEC now says announcing a buyback for a functional network does NOT constitute essential managerial efforts. Compare that to the prior SEC, where statements about token value, supply, and issuer incentives were central to enforcement theories. LOVE TO SEE IT! Will be working to turn these statements into binding rulemaking, but this is insanely bullish for the digital asset community and cause for celebration. FAQs here: sec.gov/about/divisions-offi…

Today, the @SECGov released new FAQs on the application of the federal securities laws to crypto assets. The guidance gives developers and builders greater room to build, develop, and decentralize blockchain networks and DeFi systems in the United States. Q2.3 makes clear that once a crypto system is functional, ongoing maintenance, upgrades, development funding, improvements, and efforts to grow network effects do not constitute “essential managerial efforts” under Howey. Q2.4 goes even further: once a functional crypto system has no central party, statements by the issuer relating to the system likely would not create a new investment contract because no person controls the system in a way that determines its success or failure. This is a MAJOR step forward for builders of blockchain networks and DeFi systems, and a huge validation of arguments talented lawyers have been making for years about decentralization, ongoing development, and the application of the securities laws to decentralized technology.
