🚨 WHAT THE HELL, ROBINHOOD?! 🚨 Robinhood is creating digital tokens that track AMC's stock price, claiming they're backed 1-for-1 by real shares. But here's the damn problem! ❌ NO ACTUAL SHARE OWNERSHIP! ❌ NO VOTING RIGHTS! ❌ NO SHAREHOLDER RIGHTS! YOU'RE BUYING A DAMN PRICE COPY, NOT AMC STOCK! 🚨 AMC DID NOT CONSENT! πŸ”₯ Im 100% With Adam Aron! ENOUGH OF THE DAMN GAMES! Robinhood doesn't get to make up it's own rules!!! πŸ”₯ NO EXCUSES. NO SPECIAL TREATMENT. SAME LAWS, SAME RULES, SAME CONSEQUENCES! 🦍πŸ”₯
I am not going away @vladtenev @DanGallagher AMC Entertainment does not consent to Robinhood creating Stock Tokens to replicate AMC shares in the United States (the SEC requires you to get our consent, or failing that, at least with us to stand down). They are fake, synthetic shares, which could impact our capital structure. AMC should control our financial destiny, not Robinhood.

This weekend Netflix’s new movie La Bola Negra gets a theatrical release at AMC. It won Best Director at the Cannes Film Festival, and highly likely will be in Oscar contention. It’s one of four Netflix films coming to AMC between now and year-end. We are so pleased to showcase to you all the creativity and mastery of Netflix in our theatres.

Hello again @vladtenev and @DanGallagher. So what’s Robinhood’s answer? You claim to β€œsupport” the SEC’s new rules on Stock Tokenization efforts, as they apply in the United States. Internationally, are you going to respect those same principals as laid out be the SEC? Or shame, shame, shame, will your off-shore operation in far-off Jersey be a sleazy bastardization that makes a total mockery of what the SEC has demanded as being the right thing to do?

Hey there @vladtenev and @DanGallagher: My voice will stay loud. You supported the SEC on U.S. stock tokens. They must carry voting rights, and companies can opt out. How hypocritical of Robinhood if not adopting those same principals offshore. Don’t spit in the face of the SEC.

🚨 FOLLOW THE PAPER. THIS IS WHERE IT GETS INTERESTING. $AMC has real shares. $AMC also has debt and bonds. Convertible bonds can potentially become shares. Financial institutions can build SWAPS and DERIVATIVES around securities. Then contracts can be built around other financial contracts. Think about it like a house: You start with ONE HOUSE. Someone creates a contract based on that house. Someone creates another financial product based on THAT contract. Then another. Pretty soon you have a mountain of financial paper... but still only ONE HOUSE underneath it. Now here's where $AMC gets interesting. $AMC IS REFINANCING BILLIONS IN DEBT. Old notes and loans are being bought back, redeemed or repaid while new financing replaces them. In plain English: $AMC IS CHANGING PIECES UNDERNEATH THE FINANCIAL JENGA TOWER. So what happens to swaps or derivatives that reference securities being redeemed, replaced or converted? Now add ANOTHER layer: $AMC STOCK TOKENS. Robinhood says its $AMC Stock Token is NOT an $AMC share. The token itself is a debt security. You don't directly own $AMC through that token. You don't receive normal $AMC shareholder rights. The issuer is Robinhood Assets (Jersey) Limited, and Robinhood says the tokens aren't registered under U.S. securities laws or offered to U.S. persons. BUT... Robinhood also says every Stock Token in circulation is backed: 1:1 BY THE CORRESPONDING REAL SHARE. Okay. Then forget all the Wall Street alphabet soup for a minute. BONDS. CONVERTIBLES. SWAPS. DERIVATIVES. TOKENS. BLOCKCHAIN. FOREIGN ISSUERS. Strip away EVERY layer. WHAT IS SITTING AT THE BOTTOM OF THE STACK? If there are 10 million $AMC tokens... SHOW 10 MILLION $AMC SHARES. If there are 50 million... SHOW 50 MILLION. WHO HOLDS THEM? HOW MANY TOKENS EXIST? HOW MANY REAL $AMC SHARES BACK THEM? CAN ONE SHARE SUPPORT MULTIPLE FINANCIAL CLAIMS OR PRODUCTS? WHO INDEPENDENTLY VERIFIES THE COUNT? CAN INVESTORS VERIFY IT THEMSELVES? $AMC refinancing does NOT by itself prove these tokens aren't backed. But when $AMC is changing billions in debt while financial products can exist around its debt, bonds and equity, investors have every reason to ask: WHAT ACTUALLY BACKS WHAT? Call it a bond. Call it a swap. Call it a derivative. Call it a token. Issue the product through a foreign entity outside the U.S. securities-registration framework. Put it on a blockchain. Add another financial layer. NONE OF THAT CHANGES THE MATH. If you tell investors: 1 $AMC TOKEN = BACKED BY 1 REAL $AMC SHARE then this should be the easiest question in finance to answer: WHERE. IS. THE. SHARE? Show how many tokens exist. Show the corresponding shares. Show who holds them. Show who independently verifies them. Because 1:1 isn't a slogan. IT'S A NUMBER THAT SHOULD BE PROVABLE. Because 1:1 isn't a promise. It's math. And math requires proof. SHOW THE SHARE. SHOW THE COUNT. SHOW THE RECEIPTS. Because if you can't show the 1... YOU HAVE NO BUSINESS SELLING THE :1. πŸ”₯🧾

Hey there @dangallagher, in the past week you and @vladtenev CEO of Robinhood have made public comments defending your use of and β€œstanding behind” your relatively new Stock Token concept. I think this practice is abhorrent. It defeats the very ethos of share ownership. Public financial markets were created so that companies could raise capital, and so that investors could share in the wealth created as a result. Not to turn investing instead merely into some gamified business-oriented casino. If by your own admission you can’t offer or sell Stock Tokens to β€œU.S. persons” why does your U.S. web site talk about them so much and so favorably? Vlad: How can a U.S. brokerage firm be proud of creating an offshore Channel Island operation in far off Jersey specifically with the intent to operate outside U.S. securities laws? Is there potential confusion that Stock Token purchasers are getting less than all the rights accorded to real shareholders, and if so do you care? If those tokens are theoretically backed 1:1 by real shares, but hypothetically some of those underlying real shares are in turn lent out to short sellers, are the Tokens really backed 1:1 in fact? Dan: I think U.S. securities laws have protected the public very well over the past century. You spent much of your career at the SEC. Deep down, in your heart of hearts, how can you really think a world without the precautions imposed by U.S. securities laws creates a better, safer environment for investors? Choose whatever descriptors you think best make sense under the circumstances: Non-regulated, derivative, synthetic, sham, debt-backed securities trying to simulate actual real stock, or pick your own words if these don’t fit. Stock Tokens may make you an innovator in your own eyes. In my eyes, they bring your firm dishonor.

More good news about AMC’s business prospects. This new rating of our debt by the prominent ratings agency Fitch meshes with that of Standard & Poorβ€˜s, which upgraded AMC’s debt in July. β€œRATING ACTION COMMENTARY: Fitch Assigns AMC Entertainment First-Time 'B-β€Œ' IDR; Outlook Positive The rating reflects AMC's leading market position, broad theater footprint, and strong exposure to premium formats, which support attendance, pricing, and operating leverage as the box office recovers. The rating is constrained by negative FCF and a complex capital structure relative to peers. The Positive Outlook reflects Fitch's expectation for continued box office recovery, with performance approaching pre-pandemic levels and AMC's ability to monetize attendance through pricing and concessions, supporting revenue growth and margin expansion.” fitchratings.com/research/co…
