One of the reasons Coinbase was successful in getting the allegation against its self-custody wallet dismissed is because, in the words of Judge Failla, “Coinbase has no control over a user’s crypto assets or transactions via Wallet…”
This is not how brokers of publicly-traded securities typically operate – instead, brokers generally hold securities on behalf of their customers (using “street name” registration).
One of the main reasons we ended up with an indirect holding model for listed securities via brokers (and a centralized clearing + settlement system that “immobilizes” stock certificates) is because their back-offices literally couldn’t keep up with the paperwork required to settle trades.
When a bunch of brokers went under after “the paperwork crisis” in 1970 – resulting in huge losses of customer securities and funds – Congress stepped in and passed several pieces of legislation that underpin many of the regs that brokers/intermediaries have to comply with today (and effectively cemented the indirect holding system).
So when crypto critics say there are no “use cases” – remind them that settlement is a use case!

Post-trade settlement and updating records of ownership using databases is hard. It’s because all those databases have to reconcile records with each other.

That's why last year when the Open Cap Table coalition released the first version of its cap table standard (shoutout to @johnscrudato, @josephmgreen!), a group of dreamers gathered to start working on an open source backend implementation of the OCF (Open Cap table Format).
We called it "TAP", the "Transfer Agent Protocol" (we could have gone for the "Free Cap Table Movement" 😜) as our shared vision is to create a standard implementation that registered Transfer Agents and other industry actors can use to store and manage equity records in an open and standardized way. No more vendor lock-in.
As the first version of TAP is soon to be released, we are thrilled to announce that we'll be the 1st SEC-registered Transfer Agent to integrate with the Transfer Agent Protocol.
Expect the industry-wide adoption of TAP to unleash a TON of innovation in the space 🔥
