VersaBank shareholders voted yesterday in favor of the Bank's proposed reorganization, under which Versa Bancorp, a new Delaware corporation, will become VersaBank's direct holding company. 99% of shares voted were cast in favor, exceeding the 66.6% threshold required.
Our shareholders have given us a clear mandate.
Completion of the Reorganization is still subject to approval by the Minister of Finance in Canada and the Federal Reserve Board in the U.S.

SRP partners in the United States can now finance individual point-of-sale loans within hours, instead of warehousing receivables for five to 30 days or more.
ECN Capital is the first to implement VersaBank's Real-Time Structured Receivable Program in the U.S. Removing the need for interim warehouse financing lowers a partner's overall funding cost, and evaluating the underlying loans individually through VersaBank's internal AI platform strengthens the Bank's risk mitigation further.

Fiscal 2026 has been a breakout year for VersaBank, and the third quarter carried it forward.
Results released this morning show revenue up 23% year over year to a new record, net income up 53% and adjusted (core) net income up 27%, driven by the accelerating ramp of our Structured Receivable Program in the United States, with steady growth in Canada alongside it. VersaBank also expects to drive further efficiency through broader implementation of AI.
"We have set a target for fiscal 2027 to grow our U.S. SRP portfolio by at least US$3 billion in new fundings, with significant additional upside potential, and accelerated growth in Canada," said Founder and President @DavidTaylorVB. "The recent launch of our Real-Time SRP – a breakthrough in point-of-sale industry funding – is generating considerable incremental demand from both existing and prospective new partners."
