On this Independence Day in our beloved #Zimbabwe, we as a Tsunga family celebrate the first born in our family, late Charles Tsunga who abandoned secondary school to wage the liberation struggle. He encouraged us to continue the struggle for human rights. We continue doing so.

Another law where public participation was seen as inadequate has been quashed. Since graduate and undergraduate corporate finance degrees in Zimbabwe teach foreign (read American) stuff, our young people are deprived of relevant local corporate finance structures insights. Here is a crash course on how Ecobank ended up in Zimbabwe: •In 2007, the central bank under Gideon Gono ran a number of quasi-fiscal programs, ostensibly to manage the effect of sanctions. One such program was the Farm Mechanisation Program. Others included BACOSSI, FOLIWARS & among others. •A company called Flatwater Investments was contracted to acquire farming equipment from Michigan Tractors in South Africa and received Z$2.1 trillion. •It purchased forex via Premier Bank. •Gono accused the bank & Flatwater of illegally dealing in forex over the transaction. $1.6 million in Flatwater funds were frozen at Premier. •This triggered major changes in the structure & leadership at Premier. Exodus Makumbe was pushed out. •George Manyere, Walter Kambwanji & Doug Mamvura’s Brainworks Investments got funding from BancABC and purchased 28% of Premier from Makumbe’s vehicles. Doug was the MD of the bank. Manyere was CEO. After clashes, Manyere stepped down and Peter Wood took over. •In 2009, Walter & George joined hands with a German fund - ADC - & Mauritius based KMQ and bought another 54% from other shareholders. At that point, Doug was replaced by Dutch national Len Steffen as MD. He got security pledged for the initial loan returned by BancABC. •In 2010, the central bank required Premier Banking Corporation to have $10mln in capital. The new guys running it didn’t have the capital, and internal reserves could not meet the threshold by year end deadline. •Ecobank then came in and negotiated a deal to inject $10mln which valued its stake at 70%. •The acquisition was concluded in August 2011, & the bank was rebranded to Ecobank Zimbabwe Limited. •Ecobank immediately sought to change its franchise to commercial banking from merchant banking. •In 2011, Walter & George founded Brainworks Capital, which wholly purchased Brainworks Investments. •In the same year, Brainworks increased its shareholding in Ecobank by buying ADC’s shares via a share swap. In December 2011, Brainworks held 29% of Ecobank. •As Ecobank implemented its retail banking push, it raised $15 million via a rights issue. Brainworks raised $4.2 million of that amount by following its rights. •In 2015, Brainworks Capital sold its 29% share in Ecobank for $12,5 million to Ecobank Transnational Inc, giving Ecobank a 99.39% control of the bank. •Over the last few years, Ecobank has invested millions in building its HQ in Borrowdale, Harare, commissioned yesterday by president @edmnangagwa This marks the end of the crash course.

The manner in which judicial discretion is exercised in bail proceedings can therefore have profound consequences for both individual rights and public confidence in the administration of justice. Makomborero’s achievement reflects the culture we seek to nurture at TBLI: continuous learning, technical excellence and the application of legal knowledge to real challenges confronting our justice system. The man is a result of the lowest voter turnout in Nigeria’s democratic history. Only 26.7% of the registered voters participated in an election he won. Registered Voters: 93,469,008 Voted: 25,286,616 Tinubu got 8,794,726 votes That is 36.61% of valid votes, and about 9.4% of all registered voters. Meaning ONLY 9% of Nigerian voters voted for him. Essentially making him a walking crisis of illegitimate rule in Nigeria, in that his doesn’t enjoy the majority support of his country! The voter apathy tells it all!

Zimbabwe - a beautiful country - has rich natural resources, over 40 different minerals, and vast tracts of fertile lands - undeniably endowed with everything that a nation needs to succeed, but it has one serious problem: Bad governance and poor economic stewardship by corrupt and incompetent leaders who are economically illiterate.
