ACII is the voice for the next generation of American consumers and investors who participate in U.S. financial markets.

.@BetterMarkets claims to represent American retail investors. But their primary funder is billionaire hedge fund manager Michael Masters. Investors deserve to know whose interests are really being served. Learn more: aciinstitute.org

.@JPMorganAM manages over $4 trillion in client assets — and walked away from @issgovernance & @GlassLewis entirely. When one of the largest asset managers in America loses confidence in the duopoly, every institutional investor still following their recommendations should ask themselves why.
41
How can @BetterMarkets fight for the public interest when their entire operation is funded by a single billionaire? That is not advocacy. That is a conflict of interest.
37
The @SECGov's accredited investor definition has not been meaningfully updated in over 40 years. The idea that wealth automatically equates to investment competence deserves a serious rethink.

.@SteaknShake is right — we need to stop letting passive capital protect active incompetence from proxy advisory grifters like @issgovernance and @GlassLewis.
America’s corporate governance system is broken, and it’s killing public companies. Look no further than Cracker Barrel: Decades of brutal mismanagement have seen one incompetent CEO after another walk away with a massive paycheck while customers and actual shareholders take a beating. Why does this keep happening? Because proxy advisory firms like ISS are corrupt. They blindly rubber-stamp failing boards year after year, protecting the corporate elite while burning shareholder value to the ground. The root of the rot is index funds. There's no question that indexing one's money is a smart financial move for most people. But just because you passively index your investments doesn't mean your corporate votes should be handed over to the managers of your fund so they can play politics. Right now, passive funds hold massive, unchecked voting blocks while having zero skin in the game themselves. It is time for a simple rewrite of the rules: We need to index the votes of index fund investors. Passive index funds should be forced to automatically split their votes to proportionately mirror those of retail and active institutional shareholders — the people actually doing the research, risking their capital, and fighting for performance in the companies they hold shares in. No more rubber-stamping. A change like this will immediately strip corrupt gatekeepers like ISS of their toxic influence. True accountability happens when lazy, overpaid boards actually answer to the stakeholders they represent, rather than screwing them over. Actual, logic-driven governance when your money is passive happens when your vote passively follows the voting decisions of the actual market. We need to stop letting passive capital protect active incompetence. By stripping index funds of their arbitrary voting power and empowering engaged investors, we will finally torch corporate cronyism and usher American capital markets into a golden age of capitalism.

.@TheJusticeDept rescinded the 1987 letter that gave @issgovernance a free pass on antitrust scrutiny for nearly 40 years. The question was never if the proxy advisory racket would be exposed. It was when.
44
.@BetterMarkets is not the watchdog they claim to be. They use their platform to benefit their hedge fund sponsor while presenting themselves as consumer advocates.

Under current @SECGov rules, a knowledgeable entrepreneur may be unable to invest in private markets simply because their net worth falls below the threshold. Competence and experience should count. The INVEST Act would begin to fix this.

Texas AG @KenPaxtonTX sued @GlassLewis for advertising objective advice while secretly pushing its own agenda. The complaint says it plainly: this is deception. Learn more: proxyadvisorwatch.com/

The assumption that wealthy people automatically understand investing better than anyone else is one ACII strongly disagrees with. Financial education, relevant licenses, and investment experience should all count. Smart, qualified Americans have been locked out of opportunities for too long. Learn more: aciinstitute.org

.@issgovernance has refused to cooperate with @SECGov examiners since March and defied a formal subpoena. The SEC had to take them to federal court. @SECPaulAtkins, @SenatorHagerty, @RepFrenchHill, @RepBryanSteil, @SenatorTimScott, and @SenatorBanks — the pressure is working.

.@SenatorHagerty has been calling out @issgovernance for years. Now @SECGov is taking them to federal court to force compliance with a subpoena. Thank you @SECPaulAtkins, @RepFrenchHill, @RepBryanSteil, @SenatorTimScott, and @SenatorBanks for refusing to look the other way.
ISS, a foreign-owned proxy advisory firm, has pushed left-wing policies on U.S. companies for years without transparency or accountability. Now ISS is refusing to turn over information requested by @SECgov. What are they hiding? sec.gov/enforcement-litigati…

The @SECGov filed a subpoena enforcement action against @issgovernance in federal court after ISS defied a formal subpoena and refused to cooperate with SEC examiners since March. A so-called neutral advisor with nothing to hide does not behave this way. Learn more: proxyadvisorwatch.com/

Thousands of qualified Americans are shut out of private market investments not because they lack the knowledge — but because they do not meet the SEC's wealth threshold. ACII believes that needs to change.

The FTC is investigating. The DOJ just acted. Five state AGs have sued. Congress has held hearings. The White House issued an executive order. @Issgovernance and @GlassLewis spent decades avoiding scrutiny. They cannot avoid it anymore.

.@BetterMarkets claims to champion transparency yet their own funding sources remain largely in the shadows. It is time to acknowledge that their operation serves the interests of a billionaire hedge fund manager.
