Talked to a potential client. Wanted to know whether I have malpractice insurance. I do, but apparently some lawyers they talked to before me told them they don't carry malp insurance. 🤯 I lose sleep over whether I have enough and there are lawyers out there just rawdogging it?

I don’t know who needs to hear this but if you are selling your business and you also own a side business that is more or less competitive with the one you are selling, you are delusional if you think you will find a buyer willing to buy and let you keep the side business.

Landed a buyside M&A deal, a distressed M&A purchase, and finalized term sheet for sell side tech M&A client. Pulled in a small company client for general corporate work, added more work (fees) for fractional GC client. Down 35 pounds from my all-time high 6 months ago.

Back at BigLaw I had someone with an office next to mine tell me that when I was on the phone negotiating a deal they could not tell whether it was me or my senior partner mentor on the phone. I had even adopted his mannerisms (to my horror)
one time one of the partners I worked for (who was super full of himself) said that calling representations "reps" was undignified and I've never done it again.
funny how every M&A lawyer is just a collection of the habits they pick up from all the deals they've done and all the other M&A lawyers they've seen do deals.

I dont actually think this is a bad idea. Your passwords are much less safe online than in hard copy sitting locked away in your house. Password managers can help, of course, but this isn't some shameful thing

I hate this provision, even as I know inexperienced counsel can drag a deal down. Plenty of ridiculous buyer's counsel out there too. Maybe sellers should get to vote on buyer's counsel? Of course not. My bottom line is:
